End-User License Agreement
Last updated: 4 May 2026
This EULA governs your use of the NovaPanel software (the "Software") — the panel binary, its embedded web UIs, its CLI tools, and the bundled installer. The commercial relationship (billing, subscription, refunds) is covered separately in our Terms of Service.
By installing or using the Software you accept this EULA. If you don't accept it, don't install or run the Software.
1. Licence grant
Subject to your compliance with this EULA and (if applicable) the Terms of Service, NovaPanel grants you a non-exclusive, non-transferable, revocable licence to install and run the Software on the number of servers permitted by your active licence tier:
- Community licence — one machine per fingerprint, perpetual.
- Pro licence — one machine per licence key, for the duration of an active subscription.
- Developer licence — one machine per licence key, for the duration of an active subscription.
The licence is bound to a "machine fingerprint" — a hash derived from the installed server's hardware/OS identity. Moving the licence to a different server requires resetting the binding via the customer portal first.
2. What you can do
- Install and run the Software on the licensed machine.
- Modify configuration files, templates, and any host-side configuration the panel exposes.
- Use the panel's API and CLI to integrate with your own automation.
- Host any number of customer accounts, sites, mailboxes, and databases on the licensed installation, subject to the per-tier feature limits.
- Re-brand the customer panel under our white-label feature (Pro tier and up).
3. What you can't do
You may not, except where expressly permitted by applicable law:
- Reverse-engineer, decompile, or disassemble the Software, or attempt to discover its source code from the obfuscated binary.
- Redistribute the Software — neither the binary nor any extracted component — to anyone else, whether free or paid.
- Share, resell, or sublicense a licence key or token. Each licence is bound to one fingerprint; circumventing that binding is a breach.
- Remove or alter copyright notices, licence checks, version markers, or fingerprint binding mechanisms within the Software.
- Use the Software to host content or services that violate the Acceptable Use clause of the Terms of Service.
- Operate the Software outside of an active licence — e.g., installing the Pro binary on a server with only a Community licence to access locked features.
4. Open source components
The Software incorporates open-source components — Caddy, PostgreSQL, MariaDB, Postfix, Dovecot, PowerDNS, ClamAV, and others — each governed by its own licence. Those licences continue to apply to those components individually; this EULA covers only the proprietary parts of the panel itself.
A complete list of bundled open-source software with attribution is available on request via legal@novapanel.dev.
5. Updates
We may issue updates to the Software via the panel's built-in update mechanism. Updates are signed and SHA-verified by the panel before installation. We may require an update before continuing to issue licence tokens, in particular when an update fixes a security vulnerability.
Updates are governed by this EULA. Major version changes (e.g., 2.x → 3.x) may include changes to this EULA, in which case continued use after the update implies acceptance of the new terms.
6. Telemetry
The Software periodically reports operational telemetry (machine fingerprint, hostname, public IP, panel version, last-seen timestamp) to our licence server. This is required for licence validation and fraud detection. The data we collect, retain, and share is documented in detail in our Privacy Policy.
You cannot disable telemetry — the licence binding mechanism depends on it. Running the Software with telemetry blocked is a breach of this EULA.
7. Termination
Your licence terminates automatically if:
- You breach this EULA.
- Your paid subscription lapses (for Pro / Developer tiers).
- We terminate your account under section 7 of the Terms of Service.
On termination you must stop using the Software. The panel binary itself will continue to function but will be limited to Community-tier behaviour at the next heartbeat. Sites, databases, mail accounts, and customer data on the panel are not deleted by us — they remain under your control on your own server.
8. Disclaimer of warranty
The Software is provided "as is" and "as available". To the maximum extent permitted by law, NovaPanel disclaims all warranties — express, implied, statutory — including merchantability, fitness for a particular purpose, and non-infringement.
We don't warrant that the Software will be uninterrupted, error-free, secure against every possible threat, or compatible with every Linux distribution, kernel version, or hardware configuration.
9. Limitation of liability
Liability for any claim arising out of your use of the Software is limited as described in section 10 of the Terms of Service.
10. Governing law
This EULA is governed by the laws of England and Wales. Any disputes are subject to the exclusive jurisdiction of the courts of England and Wales, subject to mandatory consumer protection rights you may have under your local law.
