Terms of Service

These terms cover the commercial relationship between you (the buyer) and us (NovaPanel). The software-licence terms — what you can and can't do with the panel binary itself — are separate, in our End-User License Agreement. The privacy / data-handling terms are in our Privacy Policy.
1. The agreement
By creating a NovaPanel account or running the panel installer, you agree to these Terms, the EULA, and the Privacy Policy. If you're agreeing on behalf of a company, you confirm you have the authority to bind that company.

2. The service
NovaPanel is a self-hosted hosting control panel. We provide:
- The panel binary, distributed via our licence-gated CDN.
- Licence issuance and validation through our licence server (license.novapanel.dev).
- Customer portal access for managing your subscription.
- Email support at support@novapanel.dev.
You provide the server hardware, the operating system, the network, the domains, and everything else NovaPanel runs on top of. We don't host your sites.
3. Tiers and pricing
Three tiers are available. Current pricing is on the pricing page; tier feature breakdown is on the features page.
- Community — free, perpetual licence, capped feature set. No subscription.
- Pro — paid subscription. Currently £4.99/month or £49/year (2 months free).
- Developer — paid subscription. Currently £9.99/month or £99/year (2 months free).
All prices are in GBP and exclude VAT. EU buyers will see VAT applied at checkout based on their billing country (handled by Stripe automatically).
We may change pricing for new subscriptions at any time. Existing subscribers stay on their current price for the duration of any pre-paid period; price changes only apply at the next renewal cycle, with at least 30 days' notice by email.
4. Billing
Subscriptions are billed monthly or annually in advance via Stripe or PayPal, depending on the option you picked at checkout. You can switch billing intervals or providers by cancelling and re-subscribing.
Failed payments: if your card or PayPal balance fails, you'll receive an automated email. Stripe retries failed charges over a few days. If payment isn't recovered, the licence is suspended and the panel falls back to Community-tier behaviour (sites and data untouched, but Pro features disable).
5. Refunds
14-day, no-questions-asked. If you're within 14 days of your initial purchase, you can request a full refund:
- Sign in to the customer portal and click Request refund — auto-processed, money returns within 5-10 business days.
- Or email support@novapanel.dev.
Refunds outside the 14-day window are handled case-by-case. Renewal payments are generally not refundable — you've already used a month or year of service. If you forgot to cancel before a renewal, email us within 7 days of the charge and we'll usually accommodate a refund + cancellation.
Refunding terminates the subscription. The licence is suspended on our side, and your panel will fall back to Community tier on its next heartbeat.
6. Cancellation
You can cancel anytime — no questions, no retention call, no hidden steps.

You keep paid access until the end of the current billing period. Your panel automatically falls back to Community tier when the licence expires — no data is deleted, sites and customer accounts stay running, only the paid features become unavailable.
7. Suspension and termination by us
We reserve the right to suspend or terminate your licence if:
- Payment fails persistently and isn't recovered.
- You breach the EULA (e.g., share a licence key across multiple servers, attempt to bypass licence checks, redistribute the binary).
- Your usage damages our infrastructure (e.g., abusive heartbeat patterns, attempts to enumerate other customers' data).
- We receive a credible report that your panel is being used to host illegal content (CSAM, fraud infrastructure, malware command-and-control).
- We're legally compelled to terminate (court order, sanctions enforcement).
We'll notify you by email before termination unless the situation is urgent (active abuse, legal requirement). Refunds for the unused portion of a paid period are issued at our discretion in genuine non-fault terminations.
8. Acceptable use
You agree not to use NovaPanel to:
- Host content or services that are illegal in the United Kingdom.
- Distribute malware, host phishing pages, or operate as part of a botnet command-and-control.
- Send unsolicited bulk email (spam) — your VPS provider's terms apply on top of ours.
- Interfere with our infrastructure (overload the licence server, scrape our APIs at abusive rates).
9. Service availability
The licence server, customer portal, and binary CDN are best-effort. We don't offer an SLA; targets are roughly 99.5% monthly availability.
Importantly: your panel keeps working through brief licence-server outages. Tokens are short-lived (~24h) and verified offline against an embedded public key. A multi-day outage would eventually expire your token; in that case the panel falls back to Community tier with paid features disabled, but sites and data remain untouched.

10. Liability
To the maximum extent permitted by UK law, our total aggregate liability under these Terms — for any claim, contract or tort, regardless of cause — is capped at the greater of:
- The amount you paid us in the 12 months before the event giving rise to the claim, or
- £100.
We are not liable for: lost profits, lost data (you are responsible for your own backups — even if we provide backup tooling), business interruption, or any indirect / consequential damages.
Nothing in these Terms limits our liability for fraud, fraudulent misrepresentation, or death / personal injury caused by our negligence — where UK law forbids exclusion.
11. Disclaimer
The software is provided "as is". We don't warrant it'll meet your specific requirements, run on your specific stack, or be uninterrupted or error-free. We test against fresh Ubuntu 22.04 / 24.04 — running on anything else is best-effort.
You are responsible for the security of your own server, the configurations you choose, and the content you host. NovaPanel is a tool; how you use it is on you.
12. Changes to these Terms
We may update these Terms occasionally. Material changes are announced by email to active subscribers and on the marketing site. Continued use of the service after a change implies acceptance. If you don't agree with a change, cancel your subscription before the effective date.
13. Governing law
These Terms are governed by the laws of England and Wales. Disputes go to the courts of England and Wales — though you have additional consumer-protection rights under your local law if you're a consumer in another country.
